1. Introduction and Acceptance
Welcome to DUA ("Dream Unit Agency"), a creative marketplace platform that connects creative professionals ("Creatives") with clients who hire them ("Bookers"). These Terms and Conditions ("Terms") govern your use of the DUA platform, website, and services.
By accessing or using DUA, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.
DUA reserves the right to modify these Terms at any time. We will notify users of significant changes via email or platform notifications. Continued use of the platform after changes constitutes acceptance of the new Terms.
2. Platform Overview
DUA is a comprehensive creative talent marketplace that facilitates:
- Discovery and booking of creative professionals including photographers, videographers, models, makeup artists, hair stylists, and other creative specialists
- Project management and collaboration tools for creative assignments
- Secure payment processing with escrow protection
- Portfolio showcasing and professional networking
- Real-time availability management and booking workflows
DUA operates as an intermediary platform and is not directly involved in the creative services provided between Creatives and Bookers.
3. User Accounts and Registration
3.1 Account Creation
To use DUA, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 User Types
Creatives: Professional talent providers who showcase their work, manage availability, and accept booking offers. Creatives must have relevant professional experience and qualifications in their respective fields.
Bookers: Clients who post projects, search for talent, and hire Creatives for assignments. Bookers may include creative directors, marketing teams, event planners, production companies, and brand managers.
3.3 Qualification and Approval
DUA requires qualification or invitation for both Creatives and Bookers to access the platform. We reserve the right to review, approve, or reject applications based on professional standards, portfolio quality, and platform fit.
Users must be at least 18 years old or have legal guardian consent to use the platform.
4. Platform Usage and Conduct
4.1 Acceptable Use
Users agree to use DUA only for legitimate professional purposes related to creative services. You may not:
- Post false, misleading, or fraudulent information
- Engage in harassment, discrimination, or inappropriate behavior
- Attempt to circumvent platform fees or payment systems
- Use the platform for illegal activities or services
- Spam, solicit, or engage in unauthorized marketing
- Violate intellectual property rights of others
- Attempt to hack, disrupt, or compromise platform security
4.2 Professional Standards
All users must maintain professional standards in their interactions, communications, and service delivery. This includes timely responses, clear communication, and adherence to agreed-upon project terms.
5. Creative Portfolios and Intellectual Property
5.1 Portfolio Content
Creatives may upload and showcase their work through portfolio features. By uploading content, you represent that you own all rights to the content or have proper authorization to display it.
Portfolio content must be professional, appropriate, and relevant to your creative services. DUA reserves the right to remove content that violates these standards.
5.2 Intellectual Property Rights
You retain ownership of all intellectual property rights in your original content. By using DUA, you grant us a limited, non-exclusive license to display your content on the platform for the purpose of providing our services.
Users must respect the intellectual property rights of others. Any unauthorized use of copyrighted material may result in account suspension or termination.
6. Booking and Project Management
6.1 Project Posting and Offers
Bookers may post projects and send offers to Creatives. All project descriptions must be accurate, complete, and include relevant details such as scope, timeline, budget, and location.
Offers constitute binding proposals when accepted by Creatives. Both parties are expected to honor the terms of accepted offers.
6.2 Assignment Management
Once an offer is accepted, it becomes an active assignment. Both parties must communicate professionally and fulfill their obligations as outlined in the project terms.
Creatives are responsible for delivering work according to agreed specifications and deadlines. Bookers are responsible for providing clear direction, necessary resources, and timely feedback.
7. Payment Processing and Escrow System
7.1 Payment Terms
DUA operates an escrow-based payment system to protect both Creatives and Bookers. When an offer is accepted, payment is held in escrow until work completion is confirmed.
Invoices are automatically generated upon project completion. The platform charges a service fee of 5% on all transactions, which is deducted from the total payment amount.
7.2 Escrow Protection
Funds held in escrow provide security for both parties. Payments are released to Creatives upon confirmed completion of work. In case of disputes, funds remain in escrow until resolution.
DUA may hold funds for additional verification or investigation if fraud or policy violations are suspected.
8. Disputes and Cancellation Policy
8.1 Dispute Resolution
In case of disputes between Creatives and Bookers, DUA provides mediation services to help resolve conflicts. Users are encouraged to communicate directly first to resolve issues.
For unresolved disputes, DUA may review project details, communications, and deliverables to make fair determinations regarding payment release or refunds.
8.2 Cancellation Policy
Projects may be cancelled by mutual agreement between parties. Cancellation terms should be discussed and agreed upon before work begins.
In case of unilateral cancellation, the cancelling party may be subject to penalties or fees as determined by DUA's review process.
9. Privacy and Data Protection
DUA is committed to protecting user privacy and personal data. Our data collection, use, and protection practices are detailed in our Privacy Policy, which is incorporated by reference into these Terms.
Users consent to the collection and use of their information as described in the Privacy Policy. This includes profile information, portfolio content, project details, and communication data necessary for platform operation.
DUA implements appropriate security measures to protect user data but cannot guarantee absolute security. Users are responsible for maintaining the confidentiality of their account information.
10. Platform Fees and Charges
DUA charges a service fee of 5% on all completed transactions. This fee covers platform maintenance, payment processing, escrow services, and customer support.
Additional fees may apply for premium features, expedited services, or specialized support. All fees will be clearly disclosed before charges are incurred.
DUA reserves the right to modify fee structures with 30 days advance notice to users.
11. Limitation of Liability
DUA provides the platform "as is" without warranties of any kind. We do not guarantee the quality, reliability, or availability of creative services provided by users.
DUA's liability is limited to the amount of fees paid by users for platform services. We are not liable for indirect, incidental, or consequential damages arising from platform use.
Users acknowledge that creative services are provided directly between Creatives and Bookers, and DUA is not responsible for the quality, completion, or outcomes of such services.
12. Account Termination and Suspension
DUA reserves the right to suspend or terminate user accounts for violations of these Terms, fraudulent activity, or behavior that harms the platform community.
Users may terminate their accounts at any time by contacting customer support. Upon termination, access to platform features will be revoked, but existing contractual obligations remain in effect.
In case of account termination, any funds held in escrow will be handled according to the status of active projects and our dispute resolution procedures.
